Case Study: Israeli M&A Transaction
A group of Israeli banks, foreign banks and financial institutions were collectively serving as the lender in a complex merger involving Lumenis, an Israeli-based healthcare company, and XIO Group, a Hong Kong-based investment firm. The facility – negotiated for a mere three months – has been secured by securities granted by subsidiaries located in multiple jurisdictions around the world.
Each member firm developed a tailor-made security package for their respective jurisdiction that included the specific nature of the securities and the legal situation pertaining to such securities, taking into account also the characteristics of the entities providing such security. S. Horowitz & Co. served as lead firm for the financial group, coordinating the transfer of all relevant information and billing arrangements with each member firm.
Through the cohesive work of Lex Mundi member firms, the required facility agreement was signed, and the Lumenis acquisition was completed. The acquisition, valued at more than 500,000,000 USD, was one of the largest M&A transactions completed in Israel.

Case Study: Cross-Border Bankruptcy of Metals Refinery
Akerman LLP, Lex Mundi member firm for USA, Florida, acted for Miami-based precious metals refinery, Republic Metals Company (RMC) and filed a bankruptcy case under chapter 11 of title 11 of the United States Code. Shortly thereafter, Akerman sought assistance from Basham, Ringe y Correa, S.C., Lex Mundi member firm for Mexico, to put RMC’s Mexican subsidiary (RTMM), into the same bankruptcy proceeding.
Basham successfully negotiated settlements with multiple Mexican creditors, which Akerman then had approved by the Bankruptcy Court. In the spring of 2019, one Mexican creditor initiated criminal proceedings against RTMM and two of its representatives, in violation of the automatic stay. With Basham’s counsel, Akerman moved the Bankruptcy Court to enforce the automatic stay and require the Mexican creditor to dismiss the criminal proceeding.
The Bankruptcy Court agreed with RTMM and entered an order directing the creditor to end the proceeding and awarded Akerman and Basham their fees and costs incurred in bringing the motion.

Kromann Reumert, Lex Mundi’s member firm for Denmark, assisted its client, MIPS Technologies Inc, a semiconductor manufacturer, with a union dispute. A group of 50 former employees sued to have forfeited stock options restored. Steptoe & Johnson LLP, Lex Mundi’s member firm for District of Columbia, had a similar trial in their case files and joined Kromann Reumert to assist on the matter.
The firms’ joint effort and combined knowledge of the matter paid off with a reverse lawsuit in the U.S. resulting in a union settlement in Denmark.
